These Terms of Service (“Terms”) govern your use of the software-as-a-service (“Platform”) provided by Obsidian Labs LLC (“Obsidian Labs,” “we,” “our,” or “us”). By creating an account, subscribing, or using our Platform, you (“Customer,” “you,” or “your”) agree to these Terms. If you do not agree, do not use the Platform.

1. Services Provided

Obsidian Labs offers a white-label CRM, marketing automation, and business management platform built on licensed technology. We grant you a limited, non-exclusive, non-transferable right to access and use the Platform during your subscription.

We do not claim ownership of third-party technology integrated into the Platform (including GoHighLevel).

2. Account Registration & Responsibilities

You must provide accurate information when creating an account.

You are responsible for maintaining the security of your login credentials.

You are responsible for all activity conducted through your account, including by your team members and clients.

You agree not to use the Platform for illegal, abusive, fraudulent, or unauthorized activities (including but not limited to spamming, phishing, or violating data protection laws).

3. Subscription, Billing & Payments

Access to the Platform requires a paid subscription. Pricing is available on our website or in your service agreement.

Subscription fees are billed in advance and are non-refundable except as required by law.

If payment fails or is not received on time, we may suspend or terminate your account.

All fees are exclusive of applicable taxes, which are your responsibility.

4. Data Ownership & Privacy

You retain ownership of all content, data, and information you upload into the Platform.

By using the Platform, you grant us a license to store, process, and transmit your data solely for the purpose of providing the Services.

We implement reasonable security measures, but you acknowledge that no system is 100% secure.

You are responsible for ensuring compliance with applicable privacy and data protection laws (e.g., GDPR, CCPA).

5. Intellectual Property

The Platform, including software, features, design, and branding, are owned by Obsidian Labs and/or our licensors.

You may not copy, modify, reverse engineer, or distribute our Platform except as expressly allowed.

You may use our white-label tools under your own branding, provided you comply with these Terms.

6. Service Availability

We strive for high uptime and performance but do not guarantee uninterrupted or error-free operation.

The Platform relies on third-party providers, and we are not responsible for outages or issues caused by them.

7. Acceptable Use

You agree not to use the Platform to:

Send unsolicited or bulk spam messages.

Engage in fraudulent or illegal activity.

Violate intellectual property rights of others.

Collect or process personal data without proper consent.

Interfere with or attempt to bypass security features.

Violation of this section may result in immediate termination.

8. Termination

You may cancel your subscription at any time. No refunds will be issued for unused time.

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or misuse the Platform.

Upon termination, your access will be revoked, but you may request an export of your data within 30 days.

9. Disclaimer of Warranties

The Platform is provided “AS IS” and “AS AVAILABLE.” We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law:

Obsidian Labs will not be liable for indirect, incidental, or consequential damages.

Our total liability for any claim related to the Services will not exceed the amount you paid in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold Obsidian Labs harmless from any claims, damages, or expenses (including attorney’s fees) arising out of your use of the Platform or violation of these Terms.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Virginia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Fairfax, Virginia.
